Job Summary:

We are seeking individuals our are passionate and highly motivated to building a career in the corporate field, with a view of eventually being a professional company secretary and/ or liquidator. The successful candidate will be responsible for ensuring that our clients complies with all applicable legal and regulatory requirements, mainly the Company Act 2016, handle corporate governance matters and managing the liquidation process for insolvent/ inactive companies. The role requires a high level of attention to detail, strong organizational skills, and a keen interest in corporate law and liquidation procedures.

 

Key Responsibilities:

  • Ensuring compliance with company law and other relevant regulations.
  • Overseeing all corporate governance matters, including drafting and filing of statutory documents, ensuring compliance with legal and regulatory requirements, and advising senior management on corporate governance issues.
  • Maintaining company records and registers.
  • Ensuring that all meetings and decision-making processes comply with legal and regulatory requirements.
  • Liaising with external advisers, such as lawyers and auditors.
  • Managing the liquidation process for insolvent and/ or inactive companies, including investigating the affairs of the company, realizing the company's assets, distributing funds to creditors, and reporting to stakeholders.
  • Preparing financial reports, including income statements, balance sheets, and cash flow statements, to provide an overview of the company's financial performance, should the need arise.
  • Maintaining accurate and up-to-date financial records for the company.

 

Requirements:

  • A degree in Accounting, Law, Business Administration, or a related field.
  • Intention to persue relevant professional qualifications, such as MAICSA, MIA Charterered Accountant, Licensed Liquidator.
  • Knowledge of company law and corporate governance principles.
  • Strong communication and interpersonal skills.
  • Ability to work independently and as part of a team.
  • Attention to detail and strong organizational skills.
  • Excellent time management and prioritization skills.
  • Proficiency in Microsoft Office.
